So, i thinking about trading my Honda Civic Ex 1998 LS/VTEC (Type R Piston) stock gsr head. For a Honda civic DX 1995 it has a d15 in it right now. He giving me a complete d16z swap Axle, Wiring, ECU, Tranny. And also a tore down h22 motor only that he said had no engine dmg just need rebuilding he also said the head is prefect. Here the Pics of my car for his. He also giving me the rear panel to fix the rust.

You can do what you want to do, but in my opinion, it seems like you would be taking on somebody's headaches.

id say keep your car, and invest in the body work for your car
it will cost you way more to fix the hatchback's rot than you may be led to believe, the cheapest around here is $300 per side if you supply the rust repair panles (about 100-150 for the set) and that only puts it in primer.
I had my eg done last year and it was a little worse than that car, it cost me $2400 after paint and that was not painting the whole car, just the fade in.

Id say keep your car.
 
I'd keep yer car, sounds like you've put quite a bit of work into it and I wouldn't just go believing someone about the h22 without checking it out for myself.
 
Just wanted to mention guys, that you shouldn't really takes someones word on the condition of a project... Its called calculated risk here... Always when you look into buying a swapped vehicle, look into and research their wiring setup... Are they using a proper computer, is it tuned, etc.. How did they do the wiring? Is there a check engine light? Will it pass emissions... Many times people aren't going to be so quick to give out this type of info on a vehicle... What reasons do they have for getting rid of a project... Especially investigate a new swap as many times people ran into issues that they weren't ready to deal with...
